Terms of Service & EULA

1. Acceptance of Terms

These Terms of Service and End User License Agreement ("Terms") govern your access to and use of the CiGYL software suite, including all web applications, APIs, scripts, and associated services ("the Service"), operated by Grafix Productions, André Graf, Germany.

By registering an account, clicking "I agree", or otherwise using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. License Grant

Subject to your compliance with these Terms, Grafix Productions grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own creative and professional pre-production work.

You may use output created with the Service (storyboards, exports, pre-vis material, and any other content you produce) for any purpose, including commercial productions.

This license does not include any right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service or any part of it.

3. Prohibited Uses & Intellectual Property Protection

The CiGYL software, including its source code, architecture, algorithms, AI prompts, data structures, and the bidirectional bridge interfaces to third-party applications (including but not limited to Blender and Unreal Engine), constitutes proprietary intellectual property of Grafix Productions.

You expressly agree that you will not, directly or indirectly:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying architecture of any part of the Service
• Copy, replicate, or create derivative works based on the Service's API interfaces, bridge protocols, or communication schemas
• Use automated tools, scrapers, or scripts to extract, monitor, or replicate the Service's internal data formats or network traffic
• Circumvent, disable, or otherwise interfere with any security or authentication mechanism
• Use the Service to build a competing product or service
• Distribute, publish, or make publicly available any non-public technical details, internal APIs, or proprietary protocols of the Service
• Remove, alter, or obscure any copyright, trademark, or proprietary notice

Violations of this section constitute a material breach of these Terms and may result in immediate account termination and legal action.

4. Beta Software Disclaimer

CiGYL is currently provided as beta software. The Service is offered "as is" and "as available" without warranties of any kind, express or implied. This includes but is not limited to:

• No warranty that the Service will be uninterrupted, error-free, or free of bugs
• No warranty against loss of data, including project files, storyboard work, or any other user-generated content
• No warranty of fitness for a particular purpose or professional production use

We strongly recommend maintaining independent backups of all your work. Grafix Productions shall not be liable for any loss resulting from Service unavailability, bugs, or unexpected behavior during the beta period.

5. Your Content & Data

You retain ownership of all content you create using the Service (storyboards, character profiles, location data, project files, etc.). You grant Grafix Productions a limited, non-exclusive license to store and process your content solely to provide the Service.

We do not claim ownership of your creative work and will not use your content for training AI models or share it with third parties, except as required to provide the Service (see our Privacy Policy).

6. Account & Termination

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use of your account.

Grafix Productions reserves the right to suspend or permanently terminate your account, with or without notice, if you:

• Violate any provision of these Terms, particularly Section 3
• Engage in abusive, fraudulent, or harmful behavior
• Attempt to circumvent security measures or access other users' data

Upon termination, your right to use the Service ceases immediately. You may request deletion of your account data at any time by contacting us at info@cinegraft.com.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Grafix Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you have paid for the Service in the twelve months preceding the claim. During the free beta period, this amount is zero.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also acknowledge and accept the Privacy Policy.

We process your personal data in accordance with the EU General Data Protection Regulation (GDPR).

9. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Germany.

If you are a consumer within the EU, you also benefit from mandatory protections of the consumer law in your country of residence.

10. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email or via an in-app notice before changes take effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.
